Gambit Corporate Finance LLP has acted as lead financial adviser to LDC and the management shareholders of Vista Technology Support (“Vista”) on its sale to TRG, a managed services provider focused on the full lifecycle of enterprise endpoints.
Cardiff-based Vista is a specialist technology managed services provider operating in fast-paced physical trading environments, including retail, hospitality and healthcare. Founded in 1995, the business is a trusted partner to more than 100 businesses across the UK and Ireland, with a customer base that includes fast-growing supermarkets, the world’s largest restaurant chain and many well-known brands.
LDC invested in Vista in October 2017 to help accelerate the business’ organic and acquisitive growth strategy. During the partnership, Vista more than doubled revenue from £17m to £44m and headcount increased from 200 employees to 432.
TRG, backed by Gemspring Capital, is a global managed services provider delivering a comprehensive range of endpoint lifecycle services including procurement, deployment, repair, asset management and cybersecurity solutions. The acquisition enhances TRG’s field services and help desk capabilities across Europe and provides a platform for Vista’s continued growth.
Dewi Hughes, Partner and Head of South West and Wales at LDC, commented:
“Vista is a great example of what can be achieved in partnership with strong leadership and a clear vision. James and the team have leveraged the increasing technology demands across retail estates as customer experiences become even more critical, while demonstrating real agility when conditions changed in the fast-moving sector. That combination has built a business with deep customer relationships and a culture of excellence. We have thoroughly enjoyed working with the team and wish them the best of luck in the next phase of their journey with TRG.”
Sam Forman, Partner at Gambit Corporate Finance, commented:
“Vista has established itself as one of the UK’s leading technology support and managed services providers, earning an enviable reputation for service quality and customer relationships across the retail, hospitality and healthcare sectors. Under James’s leadership and the support of his team, the business has delivered impressive growth while maintaining its culture and operational excellence. Our objective was to identify a partner capable of supporting the next phase of expansion and we believe TRG represents an outstanding strategic fit. It has been a pleasure to work alongside James, Dewi and their respective teams on this highly successful transaction, and we look forward to watching Vista continue to thrive as part of the TRG platform.”
Joe Coghlan, Director at Gambit Corporate Finance, added:
“Vista’s combination of deep technical expertise, nationwide service capability and long-standing customer relationships has created a truly differentiated platform in a market that continues to benefit from increasing technology adoption and the need for resilient support infrastructure. We are delighted to have advised LDC and the management team on achieving this outcome and wish James and the entire Vista team every success for the future.”
Gambit acted as lead financial adviser to LDC and the management team, overseeing the preparation, structuring, negotiation and project management of the transaction. The Gambit team was led by Partners Sam Forman and Geraint Rowe, supported by Director Joe Coghlan and Manager Harrie Thorrington.
Blake Morgan provided legal advice to LDC and Vista. KPMG provided tax advice to the shareholders.
